These Terms and Conditions establish the contractual framework for all engagements between ZahidTech Solutions and our clients.

Binding Agreement
 
These Terms, combined with the executed Statement of Work (SOW) or Service Level Agreement (SLA), constitute the entire binding agreement between ZahidTech and the client, superseding any prior communications.

Scope and Change Orders
 
All work is limited strictly to the scope detailed in the signed SOW. Any deviations requested by the client must be formalized via a signed Change Order, which may result in revisions to pricing and project timelines.

Client Obligations
 
The client is responsible for timely fulfillment of all obligations, including providing necessary approvals, system access, and resources. Failure to meet these obligations may result in project delays for which ZahidTech is not liable.

Payment and Late Fees
 
Invoices are due according to the payment schedule outlined in the SOW, typically within 15 days of issuance. ZahidTech reserves the right to charge late fees or suspend services for payments overdue by 30 days or more.

Intellectual Property (IP) Transfer
 
ZahidTech transfers ownership of all newly created, custom-developed IP to the client upon receipt of the final payment. ZahidTech retains ownership of its proprietary development tools and pre-existing code libraries used in the solution.

Limitation of Liability (Monetary Cap)
 
ZahidTech’s maximum liability for any damages or claims arising from our services shall be capped at the total amount of fees paid by the client in the three (3) months immediately preceding the liability event.

Exclusion of Indirect Damages
 
ZahidTech shall not be liable for any consequential, incidental, indirect, or special damages, including lost profits, loss of data, or interruption of business, regardless of the cause.

Data Backup Responsibility
 
The client acknowledges that they retain primary responsibility for ensuring robust data backup and disaster recovery procedures are maintained for all critical systems, independent of any services provided by ZahidTech.

Warranty Disclaimer
 
ZahidTech provides a limited warranty for custom software (e.g., 90 days). We expressly disclaim all other warranties, express or implied, including the fitness for a particular purpose, beyond those explicitly stated in the SOW.

Termination for Cause
 
Either party may terminate the agreement immediately if the other party commits a material breach of the contract (e.g., non-payment, breach of confidentiality) that remains uncured after 15 days written notice.

Non-Solicitation
 
The client agrees not to directly solicit or hire any ZahidTech employee or subcontractor who worked on their project for a period of twelve (12) months following contract termination.

Governing Law and Jurisdiction
 
These Terms shall be governed by the laws of Pakistan. Any disputes related to the agreement shall be submitted to the exclusive jurisdiction of the courts located in Malakand (or the nearest major city as applicable).
